DCF got to know the client at the instance of the financial due diligence process.  We acted for 3 investors acquiring Fourny and remained involved post-closing with ad hoc strategic advice.  As Fourny attained its strategic goals and had good momentum, the investors instructed us 4 years post closing with a pre-sale mandate and later asked DCF to sell the company.

Outcome

With a sale to listed HB Fuller DCF’s customers realised their objectives of a great exit:

  • As part of DCF’s pre-sale mandate Fourny had been working on a strong market position in select product niches, valuable to consolidators in the sector
  • HB Fuller provided strong synergies, resulting in value both for the buyer and the seller, and a smooth collaborative acquisition process
  • HB Fuller chose to integrate the asset in their portfolio, meaning any ongoing role for the seller was only required for 18 months
  • A full cash deal with no vendor loan led to maximum financial security for the sellers.
